Layla Dotson Lumpkin, Lead Attorney

For over a decade, I have dedicated my law practice to guiding emerging companies and venture capital investors through the complexities of growth and innovation.

From the earliest stages of a business's life cycle, I have counseled founders on critical decisions, particularly during the fundraising process, where strategic legal and business insight can make all the difference.  When counseling clients, I am able to leverage my deal expertise in equity financings, private company mergers and acquisitions, and loan transactions.

Investors seek my counsel because of my deep experience representing lead and follow-on investors in SAFE, convertible note, and early and late series equity financing rounds. My approach is hands-on, helping clients navigate the nuances of deal-making, from initial investment through successful investment exits (whether by IPO or acquisition).

Prior to founding HTX Venture Legal, I was a corporate partner at an AmLaw 200 firm and was based in Chicago.  There I honed my skills in high-stakes corporate and venture capital transactions. My passion for entrepreneurship law began during my time at Northwestern’s Bluhm Legal Clinic Entrepreneurship Law Center, and it came full circle when I created and began teaching a course in Entrepreneurship Law and Venture Capital Finance at the University of Houston Law Center.

Investing is more than just a profession—it's a core family value. My interest in risk-return models and new ventures extends into my personal life, where we invest as angels, limited partners, and in our community. When I’m not at the office, you can find me hanging with my spouse and our three kids, experimenting with new recipes in the kitchen or tackling DIY projects.
